This website is operated by GrooveUrban (“we”, “us”, or “our”). By accessing or using our website and services, you agree to be bound by these Terms and Conditions, including all applicable policies and notices.

These Terms/Agreement govern the relationship between GrooveUrban Private Limited, Beltal, Pattamundai, Odisha, 754215 (CIN: U59201OD2026PTC053599), and you (“You”, “User”, “Artist”, or “Label” ) in connection with any musical works, sound recordings, or related content submitted to GrooveUrban for distribution or any other services offered by us, as defined on www.grooveurban.com, agreed to in writing, or verbally agreed between the parties.

Grant of Rights

You grant GrooveUrban a non-exclusive, worldwide license to use, reproduce, distribute, display, broadcast, transmit, and promote your content, including your artist name, label name, trademarks, artwork, and related materials, solely for the purpose of providing our distribution and promotional services.

You grant GrooveUrban a royalty-free, worldwide exclusive license to exercise the rights necessary to provide our distribution services, in accordance with the Indian Copyright Act, 1957 (as amended)

Service prices are listed on our website and are subject to change without prior notice. Additional or non-standard services may incur extra charges, which will be communicated and agreed upon before work begins. We are only obligated to provide the services purchased. If a third-party service provider fails to deliver a service, we will make reasonable efforts to assist but shall not be held liable for such failures. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

Account Suspension

GrooveUrban reserves the right to suspend or freeze your account, releases, and royalty payments if we reasonably believe that any content, metadata, artwork, or other materials submitted by you are illegal, fraudulent, infringing, misleading, or otherwise violate our Terms of Service or the policies of our partners and digital service providers (DSPs). We also reserve the right to immediately terminate this Agreement if we believe you are engaging in fraudulent or illegal activity or if your conduct, or that of any associated party, is threatening, disrespectful, unprofessional, or otherwise unacceptable. In such cases, subscription fees, distribution credits, service fees, and any accrued royalties may be withheld or forfeited. Any breach of these Terms may result in the withholding or forfeiture of royalty payments. Royalty payments may also be delayed or withheld until all required ownership, licensing, authorization, and verification documents have been submitted and approved. Royalties will only be paid once your rights to distribute and monetize the content have been successfully verified.

Content Ownership

You represent and warrant that all content submitted by you is original or that you hold all necessary rights, licenses, and permissions to distribute it. Your content must not infringe any copyright, trademark, or other intellectual property rights, contain defamatory, obscene, or unlawful material, or include viruses or malicious code. You confirm that you have the legal authority to enter into this Agreement and grant GrooveUrban the rights necessary to provide its services. You are solely responsible for obtaining all required licenses and permissions, including those for cover/remix songs, where applicable.

Distribution & DSP Policies

• The Artist/Label agrees to submit all required content, metadata, artwork, and related materials in the prescribed format and within the agreed timeline for distribution. GrooveUrban is not obligated to begin providing services until all required materials have been received. While we will use reasonable efforts to meet the requested release schedule, we cannot guarantee distribution where submissions are delayed or incomplete. GrooveUrban is not responsible for any delay, failure, removal, or other action taken by third-party digital service providers (DSPs). GrooveUrban also reserves the right to reject, hold, or refuse distribution of any content that is duplicate, identical, or otherwise violates the policies of GrooveUrban or its distribution partners.

• GrooveUrban distributes music to over 100 digital music stores and platforms worldwide. However, we are not obligated to provide a complete list of all supported stores or detailed release information for every platform. Streaming, sales, and royalty reports are only available when provided to us by the respective digital service providers (DSPs). We do not guarantee the availability of reports from every platform.

Royalty Policy

• Clarification on Our 100% Royalty Policy: GrooveUrban does not deduct any commission from the royalties we receive on your behalf. We transfer 100% of the net royalties received from our distribution partners to our users. Please note that GrooveUrban may distribute your content either directly to Digital Service Providers (DSPs) or through authorized distribution partners. In such cases, some DSPs, retailers, distributors, or partners may deduct their own commissions or fees before remitting royalties to GrooveUrban. These deductions are made solely by the respective platforms and not by GrooveUrban. Accordingly, our 100% Royalty Policy refers to the full net royalty amount received by GrooveUrban, which is paid to the artist or label without any additional deduction by GrooveUrban.

• Additionally, any Tax Deducted at Source (TDS) by a retailer, licensee, DSP, distributor, or partner from your royalty payments will not be reimbursed by GrooveUrban.

• If you request the takedown of a content, no royalties will be payable for that content from the effective takedown date onward in any future royalty cycles.

Royalty Payments

• Royalty payments will only be processed when your available wallet balance reaches the minimum payout threshold of ₹5,000. Any balance below this threshold will be carried forward until the minimum amount is reached. Royalties are payable only after GrooveUrban has received payment from the respective DSPs, retailers, licensees, or partners. Approved withdrawal requests will be processed within 30 business days.

• You agree to provide accurate and up-to-date contact and payment details for yourself and/or your authorized representative(s). GrooveUrban shall not be responsible for any loss, delay, or forfeiture of payments resulting from incorrect or outdated information provided by you.

TDS

As per applicable government regulations, GrooveUrban deducts 10% Tax Deducted at Source (TDS) from royalty payments made to artists or labels. The deducted TDS is deposited with the Income Tax Department on your behalf. You may claim this TDS as a tax credit while filing your income tax return through the official Income Tax portal, subject to applicable tax laws.

Force Majeure

GrooveUrban shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, civil unrest, strikes, labor disputes, government actions, internet or telecommunications failures, cyberattacks, power outages, or failures of third-party service providers, Digital Service Providers (DSPs), distributors, payment processors, or hosting providers. During such events, GrooveUrban’s obligations shall be suspended for the duration of the event without liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The parties irrevocably submit to the exclusive jurisdiction of the competent courts at Pattamundai, Odisha, India. In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiations or mediation before commencing any legal proceedings.

Important Content Rules

• Only original content is permitted. Remixes, cover songs, lo-fi versions, live concert recordings, or any similar content may only be submitted if you are the copyright owner or hold 100% of the necessary rights, licenses, and permissions to distribute such content.

• If your submitted content is found to substantially match or infringe the music, composition, lyrics, or any other protected element of another work, GrooveUrban reserves the right to immediately suspend or terminate your account without prior notice.

• Political content is not permitted on the GrooveUrban platform. Any content that promotes, endorses, opposes, or is primarily intended for political purposes may be rejected or removed at GrooveUrban’s sole discretion.

• For YouTube Content ID: If GrooveUrban determines that your content is being used to claim or monetize in third-party videos, movies, songs, or other content that does not directly involve the content you submitted to GrooveUrban for YouTube Content ID, GrooveUrban reserves the right to remove your content from YouTube Content ID, supported platforms, and the GrooveUrban system. Any royalties generated from such claims may be withheld and will not be paid.

• We have been strictly instructed not to approve or distribute any release artwork that uses images of actors, actresses, models, or any other individuals without proper authorization or rights. If such artwork is identified, GrooveUrban reserves the right to remove the release from platforms within 24-48 hours.

• Third-party links on our website may direct you to websites or services that are not owned or operated by GrooveUrban. We do not control, review, or endorse the content, accuracy, products, or services of any third-party website. GrooveUrban shall not be liable for any loss, damage, or claim arising from your use of or reliance on any third-party websites, materials, products, or services.

• GrooveUrban’s services are subject to fair and reasonable use. Users must not misuse, abuse, or excessively use the platform in a manner that negatively affects our systems, services, other users, or our distribution partners. GrooveUrban reserves the right to limit, suspend, or terminate access to any account found to be in violation of this Fair Usage Policy or our Terms of Service.

• This Agreement may be executed by digital or electronic signature, by a “click through” format, and/or exchanged via e-mail or other digital means.

• You may review the most current version of these Terms of Service at any time on this page. GrooveUrban reserves the right to update, modify, or replace any part of these Terms at its sole discretion by posting the revised version on our website. It is your responsibility to review these Terms periodically. Your continued access to or use of the website or our services after any changes become effective constitutes your acceptance of the updated Terms.

Refund Policy

There are no refunds on the services offered by us.

Refunds (if applicable) We will refund the full amount in case your/users first content is not LIVE on any platform within 30 days of upload.
